This End User License Agreement ("Agreement") governs your use of the software applications and tools provided by The Sales Nerd ("we", "us", "the Software"), including tools that connect to third-party systems such as Intuit QuickBooks Online. By accessing or using the Software, you agree to this Agreement.
We grant you a limited, non-exclusive, non-transferable, revocable license to use the Software for your internal business purposes, subject to this Agreement. The Software is licensed, not sold.
You may use the Software only for lawful purposes and only with accounts and data you are authorized to access. You may not:
The Software can connect to third-party services you authorize, such as QuickBooks Online. You are responsible for having the rights to connect those accounts and for the accuracy of the data in them. You authorize the Software to access and process that data only to perform the functions you approve. The Software acts on your instructions; you remain responsible for reviewing and approving any action that creates, changes, or deletes records in a connected system. You can revoke access at any time.
We and our licensors own all rights, title, and interest in the Software, including all intellectual property rights. You retain ownership of your own data. This Agreement does not transfer any ownership of the Software to you.
The Software interoperates with third-party services that have their own terms and privacy practices. We are not responsible for those services, and your use of them is governed by their own agreements. Intuit and QuickBooks are trademarks of Intuit Inc.; we are not affiliated with or endorsed by Intuit.
The Software is provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Software will be uninterrupted, error-free, or that it will meet every accounting or reporting requirement. You are responsible for verifying the results it produces.
To the maximum extent permitted by law, The Sales Nerd will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or business, arising out of or related to your use of the Software. Our total liability for any claim relating to the Software will not exceed the amount you paid us, if any, for the Software in the twelve months before the claim.
This license remains in effect until terminated. We may suspend or terminate it if you breach this Agreement. You may stop using the Software and disconnect any connected accounts at any time. On termination, your right to use the Software ends, and we will delete or return your data in line with our Privacy Policy and any service agreement between us.
We may update this Agreement from time to time. When we do, we will revise the date at the top of this page. Continued use of the Software after an update means you accept the revised Agreement.
This Agreement is governed by the laws of the jurisdiction in which The Sales Nerd operates, without regard to its conflict-of-laws rules. Any dispute will be resolved in the courts of that jurisdiction.
